Terms of Service

🏛️1. Parties & Definitions

"Company," "UrbanFiling," "we," "us," "our" refers to UrbanFiling Services LLP, a limited liability partnership incorporated under the Limited Liability Partnership Act, 2008, having its principal place of business in New Delhi, India.

"User," "Client," "You" refers to any individual, sole proprietor, company, LLP, partnership firm, trust, HUF, or other legal entity that accesses, browses, or avails services through our website www.urbanfiling.com or through any other channel.

"Platform" refers to the website www.urbanfiling.com, its sub-domains, mobile applications, and any other digital interface operated by UrbanFiling.

"Services" refers to all professional services facilitated by UrbanFiling, including but not limited to business registration, tax filing, intellectual property registration, corporate advisory, debt syndication, legal documentation, loan facilitation, and compliance services.

"Professional Partners" refers to empanelled Chartered Accountants (CAs), Company Secretaries (CSs), Advocates, Investment Bankers, and other qualified professionals engaged by UrbanFiling for service delivery.

📋2. Nature of Services & Platform Role

UrbanFiling operates as a technology-enabled professional services platform that connects clients with qualified independent professional partners for the delivery of legal, compliance, taxation, and advisory services. You acknowledge and agree that:

• UrbanFiling facilitates the engagement between clients and Professional Partners but does not directly provide legal, tax, or investment advice in its own name unless specifically stated
• The actual professional services (CA work, legal drafting, company registration, etc.) are rendered by empanelled independent professionals who hold the requisite qualifications and regulatory registrations
• UrbanFiling is responsible for the quality assurance, coordination, and technology infrastructure underlying service delivery
• Nothing contained on this Platform constitutes legal, tax, or investment advice and should not be relied upon as such without formal engagement of our services
• Prices displayed are indicative. Final pricing may vary based on the complexity, nature, and scope of services required and will be confirmed in the service agreement or invoice

✅3. Eligibility & Account Registration

• You must be at least 18 years of age and legally competent to enter into binding contracts under the Indian Contract Act, 1872
• If registering on behalf of a legal entity (company, LLP, firm), you warrant that you have the authority and capacity to bind that entity to these Terms
• You are responsible for maintaining the confidentiality of any account credentials and for all activities conducted through your account
• You agree to provide accurate, current, and complete information during registration and service engagement and to promptly update such information as necessary
• UrbanFiling reserves the right to suspend or terminate accounts upon detection of fraudulent, inaccurate, or incomplete information

💳4. Payment Terms & Pricing

• All prices displayed on the Platform are in Indian Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST) and government/statutory fees, unless expressly stated otherwise
• Payment is required in advance (part or full, as agreed) before commencement of services. No service work shall begin until the specified advance payment is confirmed
• Government fees, stamp duties, filing fees, and other statutory charges are payable by the Client in addition to our professional service fees
• We accept payments via UPI, NEFT/RTGS, net banking, credit/debit cards through our payment gateway. Payments are processed over PCI-DSS compliant channels
• UrbanFiling issues GST-compliant tax invoices for all services. Invoices are maintained as permanent records
• In the event of non-payment of amounts due, UrbanFiling reserves the right to suspend services, withhold completed documents, and pursue recovery through legal means
• Prices are subject to change at the Company's discretion. Changes will not affect confirmed and paid service engagements

📦5. Service Delivery & Client Obligations

You agree to:

• Provide all required documents, information, and authorisations in a timely and accurate manner as requested by UrbanFiling or its Professional Partners
• Ensure that all documents and information provided are genuine, accurate, and legally valid. Any misrepresentation, fraud, or provision of forged documents shall render the engagement void and may attract criminal liability
• Respond to queries and requests within reasonable timeframes. Delays caused by the Client in providing required information shall not constitute a breach by UrbanFiling, and estimated delivery timelines shall be extended proportionately
• Obtain and verify the accuracy of government-issued documents, usernames, passwords (MCA, GSTN, IT Portal credentials) as required
• Not hold UrbanFiling responsible for delays or rejections attributable to government portal downtime, system maintenance, regulatory processing backlogs, or force majeure events

🚫6. Prohibited Uses

You must not use the Platform or Services for any of the following:

• Any unlawful purpose or in violation of applicable Indian laws, rules, or regulations
• Shell company formation, fraudulent registration, or money laundering activities
• Misrepresentation of identity, credentials, business activity, or financial information
• Reverse engineering, scraping, data mining, or automated access of the Platform without prior written consent
• Uploading or transmitting malware, viruses, or malicious code
• Any activity that infringes upon the intellectual property, privacy, or other rights of UrbanFiling or third parties
• Any activity prohibited under the Foreign Exchange Management Act (FEMA), Prevention of Money Laundering Act (PMLA), or any other applicable law

⚠️7. Limitation of Liability & Disclaimer

Without limiting the generality of the above:

• UrbanFiling's aggregate liability for any claim arising from a specific service engagement shall be strictly limited to the actual fee paid by the Client for that specific service (excluding government fees and taxes)
• UrbanFiling shall not be liable for delays, rejections, or adverse outcomes caused by government portal malfunctions, regulatory authority decisions, changes in law, or circumstances beyond our reasonable control
• UrbanFiling does not guarantee specific outcomes (e.g., loan approval, trademark registration success, tender award) as these are subject to discretionary decisions by government authorities and third parties
• UrbanFiling shall not be liable for any loss, damage, or liability arising from the Client's failure to provide accurate or timely information
• Information on this Platform is provided for general informational purposes and shall not constitute professional advice. Reliance on any such information is at your own risk
• UrbanFiling expressly disclaims any warranty of merchantability, fitness for a particular purpose, or non-infringement with respect to any third-party service or outcome

🛡️8. Indemnification

You shall indemnify, defend, and hold harmless UrbanFiling Services LLP, its directors, partners, officers, employees, Professional Partners, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach or alleged breach of these Terms
• Your violation of any applicable law, rule, or regulation
• Your provision of false, inaccurate, misleading, or fraudulent information
• Your infringement of any intellectual property or other rights of any third party
• Any third-party claim arising from your use of the Platform or Services

💡9. Intellectual Property Rights

All content on this Platform, including but not limited to the UrbanFiling brand name, logo, trade name, website design, layout, graphics, text, software, code, databases, tools, calculators, and documentation, constitutes the exclusive intellectual property of UrbanFiling Services LLP or its licensors and is protected under the Copyright Act, 1957, Trade Marks Act, 1999, and other applicable intellectual property laws.

• You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of availing our services
• You must not copy, reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from this Platform without prior written authorisation from UrbanFiling
• Any client-specific documents prepared for you remain owned by you upon full payment of applicable fees. UrbanFiling retains the right to use anonymised/aggregated insights for internal purposes

🤫10. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the service engagement. UrbanFiling shall not disclose your confidential business information to third parties except as necessary for service delivery, as required by law, or as expressly permitted by you. This obligation survives the termination of the service agreement.

🔗11. Third-Party Services & Links

The Platform may integrate with or link to third-party services, government portals, payment gateways, and other external platforms. UrbanFiling does not endorse, control, or accept responsibility for the content, availability, accuracy, or practices of third-party services. Your use of third-party services is entirely at your own risk and subject to those parties' respective terms and conditions.

🔚12. Termination

• Either party may terminate a specific service engagement by providing written notice. UrbanFiling will retain fees for work already completed and will deliver all completed documents
• UrbanFiling reserves the right to immediately suspend or terminate access to the Platform if you violate these Terms, engage in fraudulent activity, or in the Company's sole discretion, pose a legal or reputational risk
• Upon termination, all licences granted herein shall cease immediately. Provisions relating to intellectual property, limitation of liability, indemnification, confidentiality, and governing law shall survive termination

🔧13. Modifications to Terms

UrbanFiling reserves the right to modify these Terms at any time. Updated terms will be posted on this page with a revised "Last Updated" date. Material changes will be communicated via email or platform notification at least 15 days prior to taking effect. Your continued use of the Platform after such notice constitutes your acceptance of the revised Terms.

⚖️14. Dispute Resolution

14.1 Negotiation: In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, the parties shall first attempt to resolve the matter through good-faith negotiations within 30 days of written notice of the dispute.

14.2 Arbitration: If negotiation fails, the dispute shall be referred to sole arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration shall be New Delhi, India. The arbitration shall be conducted in the English language. The award of the arbitrator shall be final and binding on both parties.

14.3 Court Jurisdiction: Notwithstanding the arbitration clause, either party may seek urgent injunctive relief from courts of competent jurisdiction. All disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

🇮🇳15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, including the Indian Contract Act, 1872; Information Technology Act, 2000; Consumer Protection Act, 2019; and all other applicable central and state legislation. Any matter not covered by these Terms shall be determined by applicable Indian law.
